AMBIENT AGENTICS
CONFIDENTIALITY AGREEMENT

(Tier 1 Investor Access)

This Confidentiality Agreement ("Agreement") is entered into as of the date of electronic acceptance ("Effective Date") by and between:

Ambient Agentics ("Disclosing Party" or "Company")

and

The undersigned individual or entity ("Receiving Party" or "Investor")

RECITALS

WHEREAS, the Company has developed and is developing proprietary technology, business strategies, and other confidential information relating to its business;

WHEREAS, the Receiving Party desires to access the Company's Tier 1 Investor Portal to evaluate potential investment opportunities and receive updates about the Company;

WHEREAS, the Company is willing to disclose certain Confidential Information to the Receiving Party, subject to the terms and conditions of this Agreement;

1. DEFINITION OF CONFIDENTIAL INFORMATION

"Confidential Information" means any and all non-public information disclosed by the Company to the Receiving Party, including but not limited to:

  1. Business plans, strategies, projections, and financial information
  2. Product roadmaps, development plans, and technical specifications
  3. Market research, customer data, and competitive analyses
  4. Investor presentations, pitch decks, and related materials
  5. Information about partnerships, vendors, and business relationships
  6. Any other information designated as confidential

2. OBLIGATIONS OF RECEIVING PARTY

The Receiving Party agrees to:

  1. Hold the Confidential Information in strict confidence
  2. Use the Confidential Information solely for evaluating a potential investment
  3. Protect the Confidential Information using reasonable care
  4. Not copy, reproduce, or distribute the Confidential Information
  5. Promptly notify the Company of any unauthorized use or disclosure

3. TERM

This Agreement shall remain in effect for a period of two (2) years from the Effective Date. The confidentiality obligations shall survive termination for three (3) years.

4. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Delaware.

AMBIENT AGENTICS
NON-DISCLOSURE AGREEMENT

(Tier 2 Investor Access)

This Non-Disclosure Agreement ("Agreement" or "NDA") is entered into as of the date of signature ("Effective Date") by and between:

Ambient Agentics, a Delaware corporation ("Disclosing Party" or "Company")

and

The undersigned individual or entity ("Receiving Party" or "Investor")

RECITALS

WHEREAS, Tier 2 access provides the Receiving Party with access to highly sensitive and proprietary information, including detailed financial data, strategic plans, technical specifications, and other materials not available to Tier 1 investors;

1. CONFIDENTIAL INFORMATION

"Confidential Information" includes:

  1. Trade secrets, inventions, patents, patent applications, and intellectual property
  2. Proprietary technology, algorithms, source code, and technical designs
  3. Detailed financial statements, projections, cap tables, and valuation information
  4. Strategic business plans, M&A activities, and corporate development
  5. Customer lists, contracts, pricing information, and sales data
  6. Product development roadmaps and unreleased product information
  7. Investment terms, investor communications, and fundraising materials

2. CONFIDENTIALITY OBLIGATIONS

The Receiving Party shall:

  1. Not disclose any Confidential Information to any third party
  2. Use the Confidential Information solely for evaluating investment
  3. Protect using the highest degree of care
  4. Limit access to representatives with a genuine need to know

3. NON-CIRCUMVENTION

The Receiving Party agrees not to:

  1. Contact or solicit Company's customers, suppliers, or partners
  2. Solicit or hire Company employees for 12 months following termination
  3. Use Confidential Information to compete with the Company

4. TERM AND SURVIVAL

This Agreement shall remain in effect for as long as Tier 2 access is maintained and for five (5) years thereafter. Confidentiality obligations survive for five (5) years, or longer for trade secrets.

5. ACCREDITED INVESTOR

The Receiving Party represents that it is an "accredited investor" as defined in Rule 501 of Regulation D under the Securities Act of 1933 (if applicable).

AMBIENT AGENTICS
EXECUTIVE NON-DISCLOSURE AGREEMENT

(Tier 3 Executive Access)

This Executive Non-Disclosure Agreement ("Agreement") governs access to the most sensitive materials available through the Ambient Agentics Investor Portal.

TIER 3 ACCESS INCLUDES

  1. Provisional Patent Filings and IP Documentation
  2. Corporate Entity Information and Governance Documents
  3. Patent Timeline and Strategic Roadmap
  4. Detailed Monetization Strategies
  5. Direct Communication Channel with Founder

ENHANCED PROTECTIONS

In addition to all Tier 2 NDA provisions, this Agreement includes:

  1. Extended confidentiality term for patent-related information
  2. Specific prohibitions on patent-related disclosures
  3. Enhanced non-compete provisions
  4. Direct liability for representative breaches

PATENT CONFIDENTIALITY

The Receiving Party acknowledges that provisional patent filings contain trade secrets that require protection beyond standard confidentiality terms. Any disclosure of patent-related information may result in immediate legal action and liability for damages.
